Terms of Use Agreement

This Terms of Use (the "Agreement") is a legal agreement between you (the "User" or "You") and Unified Connect Solutions LLC as knows Follow Up Clients (the "Company" or "We") and its affiliates, governing your access and use of our CRM services, including our website, mobile application, and related software (collectively, the "Services").

Messaging Terms

You can cancel the SMS service at any time. Simply text "STOP" to the short code. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

Definitions

- "You" and "your" mean both an individual using the Services and an entity if you are using the Services on behalf of, or for the benefit of an entity (for example, a sales team).

- "Parties" mean collectively Follow Up Clients and You, and singularly a "Party".

Acceptance

By registering an account, clicking, or tapping any button or box marked "accept," "agree" or "OK", or by using the Services, you agree to this Agreement and any changes to it.

Terms

1. Use of Services: You agree to use the Services only for lawful purposes and in accordance with this Agreement. You will not use the Services to engage in any illegal, fraudulent, or harmful activities.

2. Account Registration: To use certain Services, you may need to register an account. You agree to provide accurate and complete information during the registration process.

3. Intellectual Property: The Services and all content, software, and technology used to provide the Services are the exclusive property of Follow Up Clients or its licensors.

4. User Conduct: You agree to use the Services in a manner that does not infringe on the rights of others, and you will not upload, post, or transmit any harmful or illegal content.

5. Disclaimer of Warranties: The Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied.

6. Limitation of Liability: In no event will Follow Up Clients be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the Services.

7. Governing Law: This Agreement will be governed by and construed in accordance with the laws of the State of Delaware.

8. Dispute Resolution: Any disputes arising out of or related to this Agreement will be resolved through binding arbitration.

9. Termination: Follow Up Clients may terminate or suspend your account or access to the Services at any time, without notice.

10. Changes to this Agreement: Follow Up Clients reserves the right to change this Agreement at any time, and any changes will be effective upon posting.

11. In the event that a customer requests to migrate their sub account to another account, a migration fee will be applicable. The migration fee will be calculated as the highest monthly subscription value of the sub account's designated packet, or the highest monthly subscription value actually paid by the customer, at any point during the subscription lifetime, whichever is greater, multiplied by 60. This means that if a customer's subscription value has varied during their subscription lifetime, the highest value achieved during that time will be used to calculate the migration fee.

That the highest subscription value achieved at any point during the subscription lifetime will be used to calculate the migration fee, even if the customer has downgraded their subscription subsequently.

Effective Date

This Agreement is effective as of July 13 2024 and applies to all use of the Services. By using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
